1. Purpose
This standard states the terms on which Foundation ResourceWorks (FRW) sells digital publications, by one-time purchase and by subscription, through its website and any other FRW-operated storefront.
2. Scope
This standard applies to every commercial transaction in which a customer purchases an FRW digital publication or subscribes to a recurring delivery of FRW digital publications. It governs the sale; FRW-008 governs the license granted on purchase or on delivery under a subscription. Where the two address the same subject, FRW-008 governs.
3. What Is Sold
FRW sells digital publications for download, in the product classes defined in FRW-008 clause 3: packs (starter packs, category packs of toolbox talks, and poster packs), individual publications, and related materials. No physical item is shipped. A commercial product code shown at the point of sale is a sales identifier, not a controlled document number, per FRW-000 clause 5. Where a product is sold as a pack or a bundle, that code identifies the commercial edition supplied, and the edition fixes which publications, at which revisions, the purchaser receives. An individually sold publication is identified by its document number and revision. FRW-000 clause 12 governs commercial editions and sales identifiers.
FRW also sells subscriptions: a recurring right to receive newly generated digital publications (toolbox talks, and any other publication FRW later offers by subscription) for one site, for the safety categories and delivery frequency selected at setup (clause 6), for as long as the subscription remains active. Clause 7 states subscription terms.
4. License
Use of everything purchased, or delivered under a subscription, is governed by FRW-008, the FRW Digital Product License, which is included with the download of a purchase and cited in every publication delivered under a subscription. This standard does not restate that license; where the two differ, FRW-008 governs. A summary for the customer’s convenience is maintained on the website and is not itself controlling.
5. Pricing and Payment
Prices are stated at the point of sale in U.S. dollars. A purchase is charged at the time of purchase. A subscription is charged at signup and at the start of each renewal period, at the price then in effect under clause 7. A price change does not affect an order already placed or a subscription period already paid for. Payment is processed by FRW’s payment provider; FRW does not receive or store full payment card details.
Information collected to complete a purchase is governed by FRW-011, the FRW Privacy Policy, which states what FRW collects, why, and for how long it is retained.
6. Delivery
Digital publications are delivered by download immediately after payment is confirmed. The purchaser is responsible for retaining the delivered files; FRW will resend a lost delivery on request.
Publications delivered under a subscription are sent by email to the subscriber’s contact address, on the delivery frequency the subscriber selected. After the first subscription payment is confirmed, FRW emails the purchaser a setup link; deliveries begin once the subscriber has completed setup by identifying the site, the safety categories, and the delivery frequency. FRW will resend the setup link on request. The subscriber is responsible for retaining the delivered files; FRW will resend a lost subscription delivery on request while the subscription is active.
FRW sells only to customers billing and shipping within the United States. By completing a purchase, the customer requests immediate delivery of digital content and acknowledges that, once delivery begins, any right to cancel the order for that content is limited to the terms stated in FRW-010.
7. Subscriptions
A subscription is billed monthly or annually, as the customer selects at signup, and automatically renews at the end of each billing period, at the then-current price, until cancelled. FRW will give the subscriber at least 30 days’ notice, by email, of a price change before the new price applies to a renewal charge; continuing the subscription after the new price takes effect is acceptance of it.
If a renewal charge is not paid when it is due, the subscription is placed on hold. While a subscription is on hold, FRW delivers no publications under it and archive access is suspended. Delivery resumes on the next scheduled delivery date after the charge is paid, and archive access is restored when it is paid. Publications that would have been delivered while the subscription was on hold are not delivered later, and no part of the charge is refunded or credited for them.
A customer may cancel a subscription at any time. Cancellation stops future renewal charges; the subscription remains active, and FRW continues delivery and archive access, through the end of the period already paid for. The subscription ends at the close of that period, not on the date it is cancelled. Cancellation does not entitle the customer to a refund for the current period; refunds on a subscription charge are governed by clause 8.
Use of publications delivered under a subscription is governed by FRW-008: clause 4 states the license scope, clause 10 states that a refund of a subscription charge does not end the license to publications already delivered, and clause 11 states that a publication delivered under a subscription carries no revision entitlement, in place of the six-month revision entitlement stated in clause 9 below.
8. Refunds
Refunds on a one-time purchase are governed by FRW-010, the FRW Digital Product Refund Policy, incorporated into this standard by reference. An approved refund terminates the purchaser’s license to the refunded publication under FRW-008 clause 10.
A subscription charge is not refundable. A customer who no longer wants a subscription cancels it under clause 7; the exceptions FRW-010 clause 5 states for a one-time purchase apply equally to a subscription charge. An approved refund of a subscription charge does not terminate the license to publications already delivered under the subscription, per FRW-008 clause 10.
9. Six-Month Revision Entitlement
This clause applies to a one-time purchase; for a publication delivered under a subscription, see clause 7 and FRW-008 clause 11. FRW-008 clause 11 entitles a purchaser to any revision FRW issues to a publication purchased, at no charge, for six months from the purchase date. The entitlement ends if the license terminates, including on refund.
10. No Certification of Compliance
FRW publications are resources, not a substitute for a facility-specific hazard assessment, legal advice, or professional judgment. They do not certify compliance with any regulation and do not replace the purchaser’s obligation to develop, implement, and verify an effective safety program. Regulatory text referenced in an FRW publication is cited, not reproduced; the purchaser is directed to the official source for current text.
11. Intellectual Property
FRW publications, the FRW name, and the FRW marks are the property of Foundation ResourceWorks. A purchase, or a delivery under a subscription, grants the license stated in FRW-008. It does not transfer ownership of the content, the FRW name, or the FRW marks.
12. Disclaimer and Limitation of Liability
FRW publications are provided as is, without warranty of any kind, express or implied, including any warranty of fitness for a particular purpose. To the maximum extent permitted by law, FRW’s total liability arising from a purchase is limited to the amount paid for that purchase, and FRW’s total liability arising from a subscription is limited to the subscription charge paid for the billing period in which the claim arose. FRW is not liable for indirect, incidental, or consequential damages arising from use of a publication.
13. Changes to This Standard
FRW may revise this standard. The version published on the website at the time of a purchase governs that purchase. For a subscription, the version in effect at signup governs until a later version takes effect for that subscription at the start of a renewal period; FRW will give the subscriber at least 30 days’ notice, by email, of a change to this standard that affects a subscription. A revision to this standard is a controlled change under FRW-000 and does not itself alter the license terms of a publication already supplied, per FRW-008 clause 12.
